General Terms of Use

Innovative Concepts AG (trading as SuisseBase™) — Version 3.0, effective 26 September 2026

1. Who we are

1.1 These Terms govern your use of the website suissebase.ch, our client onboarding portal and the services described on them (together the "Services") provided by Innovative Concepts AG, an Aktiengesellschaft registered in Geneva, Switzerland, UID CHE-294.772.335, with registered seat at Rue du Mont-Blanc 11, 1201 Geneva ("SuisseBase", "we", "us").

1.2 SuisseBase is a financial intermediary affiliated to the Association Romande des Intermédiaires Financiers (ARIF), affiliation no. 3284, a self-regulatory organisation recognised by the Swiss Financial Market Supervisory Authority FINMA under art. 24 of the Anti-Money Laundering Act (AMLA). SuisseBase is not a bank, securities firm or fund manager and does not hold a FINMA licence. Client assets are not protected by any deposit-insurance scheme.

2. Acceptance

2.1 By accessing the website, submitting an application, or using any Service, you accept these Terms, our Privacy Policy, Cookie Policy, Regulatory and Risk Disclaimer, AML & CTF Policy, Travel Rule Information and First-Party Transfer Policy, each as published on suissebase.ch and updated from time to time.

2.2 If you act for a legal entity, you confirm that you are authorised to bind it.

3. Eligibility

3.1 You must be at least 18 years old, have full legal capacity, and not be resident in, a national of, or acting from a Prohibited Country, nor be a person on a sanctions list, as set out in Annex A of our Regulatory and Risk Disclaimer. Persons connected to an Enhanced-Control Country listed there may be onboarded only after enhanced due diligence.

3.2 We may refuse, suspend or terminate any application or relationship at our discretion, in particular where our AML & CTF Policy requires it, and we are not obliged to give reasons.

4. Onboarding and identification

4.1 Use of the Services requires completion of our client identification process, including identity verification by our third-party verification provider, screening against sanctions and politically-exposed-person lists, and, where we require it, proof of address, source of funds and source of wealth.

4.2 You must provide accurate, complete and current information and notify us within 30 days of any change, including change of residence, nationality, beneficial ownership or contact details.

4.3 Applications are saved for a limited period; incomplete applications may be deleted.

5. Nature of the Services — non-custodial model

5.1 SuisseBase does not hold, control or have access to client digital assets. Settlement wallets made available through the Services are self-custodial embedded wallets operated on Privy's non-custodial wallet infrastructure. The private key is generated on your device and protected by a 2-of-3 threshold scheme in which SuisseBase holds no share; SuisseBase cannot sign, move or recover your assets. You are solely responsible for exporting and safeguarding your private key and recovery material. Loss of the key means loss of access to the assets; neither SuisseBase nor Privy can recover it.

5.2 Fiat-currency accounts and payment details made available through the Services are provided by regulated partner institutions and are opened in the client's name. Funds held with those institutions are subject to the partner's terms and the law of its jurisdiction.

5.3 Conversion between fiat currency and digital assets is executed through partner providers at the rate quoted to you at execution. SuisseBase does not operate an exchange order book.

5.4 Nothing on the website or in the Services is investment, legal or tax advice. Digital assets are volatile and may lose all value. See the Regulatory and Risk Disclaimer.

6. Client obligations

6.1 You will use the Services only for your own account (see our First-Party Transfer Policy), only for lawful purposes, and never for or on behalf of a third party without our prior written approval.

6.2 You will not use the Services in connection with any activity or industry prohibited under our AML & CTF Policy, any person on a sanctions list named in Annex A, any Prohibited Country, or, without completing our enhanced due diligence, any Enhanced-Control Country (Annex A of the Regulatory and Risk Disclaimer).

6.3 You are responsible for the security of your devices, email account, authentication factors and exported keys. You will inform us immediately of any suspected unauthorised access.

6.4 You will provide any information or document we reasonably request to meet our legal obligations, and you accept that we may delay or refuse a transaction until it is provided.

7. Fees

7.1 Fees for each Service are stated in the applicable fee schedule or fact sheet provided to you before you use that Service. Third-party charges (network fees, partner-institution fees, foreign-exchange spreads) are passed on as incurred.

8. Communications and security notice

8.1 We communicate by email only from addresses ending in @suissebase.xyz, and through channels you have registered with us. Treat email from any other domain claiming to be SuisseBase as fraudulent. We will never ask for your private key, password or one-time code.

8.2 Notices to us are to be sent through the contact form at suissebase.ch/contact or by post to the registered seat.

9. Intellectual property

All content, marks (including SuisseBase™) and software are owned by or licensed to Innovative Concepts AG. You receive a personal, non-transferable, revocable right to use the Services in accordance with these Terms.

10. Suspension and termination

10.1 Either party may terminate the relationship on 30 days' written notice. We may suspend or terminate immediately where required by law, by our AML & CTF Policy, by a partner institution, or where you breach these Terms.

10.2 On termination we will, subject to applicable law and any legal hold, assist you in withdrawing fiat balances held with partner institutions. Digital assets in self-custodial wallets remain under your control and are unaffected.

11. Liability

11.1 To the extent permitted by Swiss law, SuisseBase is liable only for damage caused by its gross negligence or wilful misconduct. Liability for auxiliary persons (art. 101 CO) is excluded to the extent permitted.

11.2 We are not liable for loss arising from your loss of keys or credentials, from the acts or omissions of partner institutions, blockchain networks or verification providers, from market movements, or from events beyond our reasonable control.

11.3 Nothing in these Terms excludes liability that cannot be excluded under Swiss law.

12. Data protection

We process personal data as described in our Privacy Policy, under the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation.

13. Complaints

Complaints may be submitted through https://suissebase.ch/client-complaints-submission or in writing to the registered seat. We acknowledge complaints within 5 business days and aim to respond substantively within 30 days.

14. Changes to these Terms

We may amend these Terms by publishing a new version on suissebase.ch with a new effective date. Material changes are notified by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. Prior versions are available on request.

15. Governing law and jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of the Canton of Geneva have exclusive jurisdiction, subject to any mandatory forum available to consumers. The English version prevails over any translation.

16. Miscellaneous

If any provision is invalid, the remainder stands. You may not assign your rights without our consent. These Terms, together with the documents referred to in clause 2.1, are the entire agreement between you and SuisseBase for the Services.
